Plority Terms of Service

Effective Date: October 6, 2026

These Terms of Service (“Terms”) govern access to and use of the websites, applications, software, and related services provided by Plority LLC, a New Hampshire limited liability company (“Plority,” “we,” “us,” or “our”), collectively referred to as the “Services.”

By creating an account, accessing or using the Services, purchasing a subscription, or accepting these Terms on behalf of a business or organization, you agree to these Terms.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “Company,” “you,” and “your” include that organization as applicable.

If you do not agree to these Terms, do not use the Services.

1. The Plority Service

Plority is a Business Relationship Manager (“BRM”) designed to help businesses organize and maintain context, ownership, documentation, and next steps relating to their business relationships.

The Services may include Business Charts, Updates, Follow-Ups, contacts, documents, relationship ownership and following, AI-assisted features such as Brief Me, Company administration, user permissions, and other functionality Plority may introduce or modify over time.

Plority may improve, modify, add, remove, or replace features as the Services evolve. We do not guarantee that every feature will remain unchanged or available indefinitely.

2. Eligibility and Business Use

You must be at least 18 years old and legally capable of entering into a binding agreement to create or administer a Plority account.

Plority is intended primarily for business and professional use.

You are responsible for ensuring that your use of the Services complies with laws and regulations applicable to your organization, your users, your industry, and the information you choose to maintain in Plority.

3. Company Accounts and Users

A Plority subscription is associated with a Company Account.

Companies may authorize users to access the Services and may assign roles, permissions, ownership, or other access privileges to those users.

The Company is responsible for:

  • determining who is authorized to access its Company Account;

  • assigning appropriate roles and permissions;

  • maintaining accurate user information;

  • promptly removing access when it is no longer appropriate;

  • activity conducted through its authorized accounts; and

  • ensuring its users comply with these Terms.

Users must maintain the confidentiality of their login credentials and must not share individual login credentials with unauthorized persons.

You must notify Plority promptly if you reasonably believe an account has been compromised or accessed without authorization.

4. Company Data

“Company Data” means information, content, documents, records, text, files, contacts, Updates, Follow-Ups, and other materials submitted to or maintained within the Services by or on behalf of a Company.

Your Company Data Belongs to You

As between Plority and the Company, the Company retains ownership of its Company Data.

Plority does not acquire ownership of Company Data merely because it is stored or processed through the Services.

You grant Plority a limited right to host, process, transmit, reproduce, display, and otherwise use Company Data only as reasonably necessary to provide, maintain, secure, support, and improve the Services; fulfill your requests; comply with law; and exercise our rights under these Terms and our Privacy Policy.

Your Responsibility for Company Data

The Company is responsible for the Company Data that its users enter, upload, or maintain in Plority.

You represent that you have the rights, permissions, authority, or other lawful basis necessary to provide and process Company Data through the Services.

This includes information relating to customers, clients, vendors, partners, employees, team members, professional contacts, and other individuals or organizations.

Plority does not independently verify that you have obtained all permissions or notices required for information you choose to enter into the Services.

5. Prohibited Health and Patient Information

Plority is not a HIPAA-compliant service and is not designed, offered, or authorized for the storage or processing of Protected Health Information (“PHI”).

You must not use Plority to enter, upload, store, transmit, or process PHI or patient-specific medical, clinical, behavioral health, diagnosis, treatment, or similar protected healthcare information.

Plority’s origins, founder background, customers, or use within healthcare-related business operations do not mean that Plority is a patient-care system or that the Services are appropriate for regulated patient information.

The Company is responsible for ensuring that its users comply with this restriction.

Plority does not routinely inspect Company Data to determine whether prohibited information has been entered.

If Plority becomes aware that prohibited information has been entered into the Services, we may take reasonable action, including requesting its removal, removing or restricting access to affected information, restricting functionality, suspending access, or terminating an account when reasonably necessary.

The presence of prohibited information in the Services does not create an agreement by Plority to provide HIPAA-compliant services or to act as a Business Associate under HIPAA.

6. Acceptable Use

You may not use the Services to:

  • violate applicable law or the rights of another person or organization;

  • upload or distribute malicious software or harmful code;

  • gain or attempt to gain unauthorized access to another Company, user, system, or network;

  • interfere with the security, availability, or operation of the Services;

  • circumvent account, permission, subscription, or usage restrictions;

  • impersonate another person or misrepresent your authority;

  • use the Services to harass, threaten, exploit, defraud, or unlawfully discriminate against others;

  • store information you do not have the legal right to collect or process;

  • store prohibited PHI or patient information as described above;

  • reverse engineer, copy, reproduce, scrape, or attempt to derive the source code or underlying proprietary components of the Services except where such restriction is prohibited by law;

  • use automated methods to access the Services in a manner that materially burdens or disrupts them; or

  • use the Services to develop or train a competing product using Plority’s proprietary software, interface, documentation, or nonpublic functionality.

Plority may investigate suspected misuse and take reasonable steps to protect the Services, customers, and other users.

7. AI-Assisted Features

Plority may provide artificial-intelligence-assisted features, including Brief Me.

When an authorized user invokes an AI-assisted feature, relevant information that the user is authorized to access may be processed by Plority and third-party AI service providers, including OpenAI, for purposes of generating the requested output.

AI-generated outputs may contain errors, omissions, or incomplete or inaccurate information.

You are responsible for reviewing AI-generated output before relying on or acting upon it.

AI-generated output is not legal, medical, financial, employment, compliance, or other professional advice, and Plority does not guarantee its accuracy or suitability for a particular purpose.

Plority may change the models, providers, processes, or technologies used to provide AI-assisted functionality.

Use of AI-assisted functionality is also subject to the data practices described in our Privacy Policy.

8. Subscriptions and Billing

Certain Services require a paid subscription.

Available plans, prices, billing periods, included users, and other subscription terms are presented when you purchase or modify a subscription.

Plority may offer monthly, annual, custom, promotional, pilot, or other subscription arrangements.

Recurring Billing

Unless otherwise stated at purchase, paid subscriptions automatically renew at the end of each billing period until canceled.

By purchasing a recurring subscription, you authorize Plority and its payment processor to charge the applicable subscription fees and taxes using the payment method associated with your account.

Payment Processing

Plority uses third-party payment processors, including Stripe, to process payments.

Plority does not intend to directly store complete payment card numbers or equivalent full payment credentials.

Payment processing may also be subject to the payment processor’s applicable terms and privacy practices.

User-Based Plans

Subscription pricing may depend on the number of users associated with a Company Account.

A Company must maintain a subscription tier sufficient for its number of active users.

If the number of users exceeds the limits of the Company’s current plan, Plority may require the Company to upgrade to an appropriate plan. Any additional or changed charges will be disclosed as required before they are imposed.

Taxes

Prices may not include applicable sales, use, value-added, goods and services, harmonized sales, or similar taxes unless expressly stated.

The Company is responsible for applicable taxes associated with its purchase or use of the Services except taxes based on Plority’s net income.

9. Cancellation and Refunds

You may cancel a subscription at any time using the cancellation method made available by Plority.

Cancellation prevents the subscription from renewing at the end of the then-current paid billing period.

Unless otherwise required by applicable law or expressly agreed by Plority:

  • subscription payments are non-refundable;

  • Plority does not provide prorated refunds or credits for partially used billing periods; and

  • cancellation does not immediately terminate access that has already been paid for.

For example, if an annual subscription is canceled before the annual paid term expires, the Company may continue using the Services through the end of that paid term, but the subscription will not renew for another year.

Likewise, cancellation of a monthly subscription ordinarily permits continued use through the end of the paid monthly billing period.

Nothing in these Terms limits refund or cancellation rights that cannot lawfully be waived.

10. Data After Cancellation

Cancellation of automatic renewal and termination of access are not necessarily the same date.

Following cancellation, the Company may continue using the Services through the end of its then-current paid subscription term unless access is terminated earlier for cause or otherwise agreed.

After the Company’s paid subscription term ends, Plority will generally retain Company Data for 90 days.

During that 90-day post-subscription retention period, an authorized Company representative may contact hello@plority.com to request an export of the Company’s available Company Data.

Data export following cancellation is currently provided upon request and is not offered as an unrestricted self-service export function.

After the 90-day retention period expires, Company Data may be permanently deleted and may no longer be recoverable, subject to limited information that Plority may retain when reasonably necessary for legal, security, fraud-prevention, backup, dispute-resolution, accounting, or other legitimate purposes.

Aggregated or deidentified information that does not reasonably identify an individual or customer Company may also be retained as described in our Privacy Policy.

11. Suspension and Termination

Plority may suspend, restrict, or terminate access to some or all of the Services if we reasonably determine that:

  • these Terms have been materially violated;

  • fees remain unpaid;

  • use of the Services creates a material security or legal risk;

  • the Services are being used unlawfully or abusively;

  • prohibited information is being intentionally or repeatedly stored;

  • continued access could materially harm Plority, another customer, or another person; or

  • suspension or termination is required by law.

Where reasonably appropriate, Plority will attempt to provide notice and an opportunity to address the issue before termination.

Immediate action may be taken when reasonably necessary to address security, legal, fraudulent, abusive, or other significant risks.

12. Plority Intellectual Property

Plority and its licensors retain all rights, title, and interest in and to the Services and related intellectual property.

This includes, as applicable:

  • software and source code;

  • product architecture and functionality;

  • workflows;

  • user-interface elements;

  • designs;

  • documentation;

  • Plority branding and trademarks;

  • Business Chart implementation;

  • Brief Me functionality;

  • proprietary methods and processes; and

  • improvements, modifications, and derivative works relating to the Plority platform.

Except for the limited right to use the Services during an authorized subscription, these Terms do not grant the Company ownership of Plority’s software or intellectual property.

Nothing in these Terms transfers ownership of Company Data to Plority.

13. Feedback and Suggestions

We welcome feedback, ideas, requests, and suggestions about Plority.

If you voluntarily provide feedback or suggestions concerning the Services, you grant Plority the right to use, develop, implement, commercialize, and incorporate that feedback into the Services without restriction or obligation to compensate you.

Providing an idea or feature suggestion does not create an ownership interest in Plority or its products.

Yes, this is the “you suggested the button; you do not now own 4% of Plority” section. 😂

14. Confidentiality

In providing or using the Services, either party may receive nonpublic information that reasonably should be understood to be confidential.

Each party will use reasonable care to protect the other party’s confidential information and will use it only as reasonably necessary in connection with the Services or as otherwise authorized.

Confidential information does not include information that:

  • becomes publicly available without breach of an obligation;

  • was lawfully known without confidentiality restrictions;

  • is independently developed without use of the other party’s confidential information; or

  • is lawfully received from another source without confidentiality restrictions.

A party may disclose confidential information when required by law, legal process, or governmental authority, subject to applicable legal requirements.

15. Privacy

Plority’s collection and processing of personal information is described in the Plority Privacy Policy, which is incorporated by reference into these Terms as applicable.

Companies remain responsible for their own privacy notices, policies, consents, legal bases, and obligations relating to information they collect and place into Plority.

16. Security

Plority uses reasonable administrative, technical, and organizational measures designed to protect information and the Services.

However, no internet-based service, software platform, transmission method, or storage system can be guaranteed to be completely secure.

Companies and users are responsible for maintaining secure credentials, appropriately configuring user access, and promptly removing access that is no longer appropriate.

17. Third-Party Services

The Services may depend upon, interact with, or provide links to third-party products and services.

These may include payment processors, hosting providers, artificial intelligence providers, email services, analytics providers, or other technology vendors.

Plority is not responsible for third-party products or services that are outside Plority’s reasonable control, and their use may be governed by separate terms and privacy policies.

18. Service Availability

We work to maintain reliable access to Plority, but we do not guarantee uninterrupted or error-free availability or any specific uptime level unless expressly stated in a separate written agreement.

The Services may occasionally be unavailable because of maintenance, upgrades, outages, third-party failures, security events, internet conditions, or circumstances beyond Plority’s reasonable control.

Plority may perform maintenance or modify the Services when reasonably necessary.

19. Beta and Early-Access Features

Plority may occasionally make beta, preview, pilot, experimental, or early-access functionality available.

Such functionality may be incomplete, change substantially, contain errors, or be discontinued.

Unless expressly agreed otherwise in writing, beta or early-access functionality is provided without guarantees regarding continued availability or future inclusion in the Services.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PLORITY DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

PLORITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY BUSINESS PURPOSE.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply where prohibited by law.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLORITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLORITY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE TO PLORITY BY THE APPLICABLE COMPANY FOR THE SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

22. Indemnification

To the extent permitted by applicable law, the Company agrees to defend, indemnify, and hold harmless Plority LLC and its officers, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from or relating to:

  • Company Data;

  • the Company’s or its users’ unlawful use of the Services;

  • violation of these Terms;

  • violation of another person’s rights;

  • information entered into Plority without required authority or permission; or

  • the Company’s or its users’ prohibited storage or processing of PHI or other prohibited information.

Plority will provide reasonable notice of a covered claim and reasonable cooperation in its defense.

23. International Use

Plority is operated by a company organized in New Hampshire, United States, but the Services may be accessible from other jurisdictions.

Companies using Plority outside the United States are responsible for ensuring that their use complies with laws applicable to them.

Plority may introduce jurisdiction-specific terms, functionality, restrictions, or requirements as the Services expand internationally.

Nothing in these Terms waives rights or obligations that cannot lawfully be waived under applicable law.

24. Changes to These Terms

Plority may update these Terms as the Services, business, or applicable laws evolve.

When we make changes, we will update the effective date.

If a change is material, we may provide additional notice through the Services, by email, or through another reasonable method.

Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

If applicable law requires additional consent to a change, we will seek that consent.

25. Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

Subject to any rights or requirements that cannot lawfully be waived, disputes arising out of or relating to these Terms or the Services will be brought in an appropriate state or federal court located in New Hampshire, and the parties consent to the jurisdiction of those courts.

Before initiating formal litigation, the parties are encouraged to make a good-faith effort to resolve the dispute informally.

Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief when necessary to protect intellectual property, confidential information, security, or other rights.

26. General Terms

Assignment. You may not assign these Terms or transfer your Company Account without Plority’s prior written consent, except as permitted by applicable law. Plority may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of its business or assets.

Force Majeure. Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control, except for payment obligations.

Severability. If a provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

No Waiver. Failure to enforce a provision of these Terms does not waive the right to enforce it later.

No Partnership. These Terms do not create a partnership, joint venture, agency, franchise, fiduciary, or employment relationship between Plority and the Company.

Entire Agreement. These Terms, the Privacy Policy, applicable order or subscription information, and any other written agreement expressly incorporated by reference constitute the agreement governing use of the Services, unless Plority and the Company enter into a separate written agreement that expressly supersedes particular provisions.

Headings. Section headings are provided for convenience and do not alter the meaning of these Terms.
